Terms of Service

1. Services

HiKit Studio provides web development, digital marketing, automation, and related digital services as outlined in project proposals and service agreements. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a Statement of Work (SOW) or project proposal accepted by both parties.

2. Payment Terms

Project work is invoiced in two installments: 50% upfront to begin work, and 50% upon delivery. Monthly subscription services are invoiced monthly in advance. Invoices are due within 14 days of receipt. Late payments accrue interest at 1.5% per month. Work may be paused on accounts with outstanding invoices over 30 days.

3. Intellectual Property

Upon receipt of final payment, all custom work product created for the client becomes the client's property. HiKit Studio retains the right to display completed work in portfolio and case study materials unless the client requests confidentiality in writing. Pre-existing code libraries, frameworks, and tools used in development remain the property of their respective owners.

4. Revisions and Change Orders

Project proposals include a defined number of revision rounds. Requests that materially change the scope, functionality, or design direction beyond the agreed scope will be quoted as change orders. HiKit Studio will notify the client before beginning any out-of-scope work.

5. Client Responsibilities

Clients are responsible for providing accurate content, timely feedback within agreed review windows, and access to necessary third-party accounts and services. Delays caused by client non-responsiveness may result in adjusted delivery timelines.

6. Cancellation

Either party may terminate a project engagement with 14 days written notice. For projects in progress, the client owes for all work completed to date. Deposits are non-refundable once work has commenced. Monthly subscriptions may be cancelled with 30 days notice.

7. Limitation of Liability

HiKit Studio's liability for any claim arising from services provided is limited to the fees paid for the specific deliverable giving rise to the claim. We are not liable for indirect, consequential, or incidental damages, including lost profits or business interruption.

8. Warranties

We warrant that our work will function as specified in the project scope for 30 days after delivery. We do not warrant uninterrupted operation, compatibility with all future third-party updates, or specific search rankings or marketing outcomes.

9. Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during the course of the engagement. This obligation survives termination of the agreement.

10. Governing Law

These terms are governed by the laws of the State of Illinois. Any disputes will be resolved through binding arbitration in Chicago, Illinois.
